1. Agreement to Terms

Welcome to Karipe ("Company," "we," "our," or "us"). By accessing or using our website and services (the "Platform"), you agree to comply with and be bound by these Terms of Use (the "Terms"). If you do not agree with these Terms, you may not use the Platform.

These Terms constitute a legally binding agreement between you ("User," "you") and Karipe governing the use of our services. This includes homeowners, contractors, and any other users of the Platform.

2. Platform Overview

Karipe provides an online platform that connects homeowners with contractors for various home services. Karipe does not perform or oversee any contracting services and is not a party to any agreements between homeowners and contractors.

3. User Eligibility

You must be at least 18 years old and legally able to enter into contracts to use the Platform. By using the Platform, you represent and warrant that you meet these requirements.

4. Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate and complete information.
• Maintain the confidentiality of your account credentials.
• Be responsible for all activity on your account.

We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

5. Contractor Responsibilities

Contractors using Karipe must:

• Hold all necessary licenses, certifications, and insurance as required by law.
• Provide truthful descriptions of their services.
• Complete services in a professional and timely manner.
• Comply with all applicable laws and regulations.

Karipe does not verify contractor qualifications and is not liable for any issues arising from contractor performance.

6. Prohibited Off-Platform Transactions

To maintain the integrity of the Karipe Platform and ensure a secure transaction environment, all communications and financial transactions between homeowners and contractors must be conducted through Karipe. Users are strictly prohibited from engaging in off-platform payments, deals, or contract agreements.

7. Escrow Payment System

• Payments for services may be held in escrow until completion.
• Homeowners authorize the release of funds upon satisfactory service completion.
• If disputes arise, funds will be held until a resolution is reached per our Dispute Resolution Policy.
• Karipe is not responsible for payment disputes and only facilitates the transaction.

8. No Warranties & Disclaimers

Karipe provides the Platform "AS IS" and "AS AVAILABLE" without warranties of any kind. We do not guarantee:

• The accuracy or reliability of contractor listings.
• The performance or quality of services provided by contractors.
• Uninterrupted or error-free access to the Platform.

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

Under no circumstances shall Karipe, its owners, employees, or affiliates be liable for:

• Any direct, indirect, incidental, or consequential damages arising from use of the Platform.
• Disputes, damages, or losses related to contractor services.
• Any unauthorized access to or use of our servers and personal data.

Users agree to hold Karipe harmless for any claims arising from their use of the Platform.

10. Indemnification

You agree to indemnify, defend, and hold harmless Karipe, its affiliates, and employees from any claims, damages, losses, liabilities, costs, or expenses (including legal fees) arising from:

• Your use of the Platform.
• Any violation of these Terms.
• Any disputes between homeowners and contractors.

11. Dispute Resolution & Arbitration

• All disputes must first be addressed through our Dispute Resolution Policy.
• If unresolved, disputes shall be settled exclusively by binding arbitration, waiving any right to a court trial.
• Arbitration shall be conducted in Wyoming under the rules of the American Arbitration Association (AAA).
• Users waive the right to participate in class-action lawsuits or jury trials against Karipe.

12. Termination

• We may suspend or terminate your access to the Platform at any time for:
• Violation of these Terms.
• Fraudulent or unlawful activity.
• Any action deemed harmful to the Platform or its users.
• Upon termination, your right to use the Platform ceases immediately, and any pending obligations remain enforceable.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes by posting updates on the Platform. Your continued use after modifications constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of Wyoming, without regard to conflict of law principles.
