1. INTRODUCTION

This Contractor Agreement ("Agreement") is entered into by and between Karipe LLC, a Wyoming-registered company ("Karipe," "Company," "we," "our"), and you ("Contractor," "you"). By using the Karipe platform ("Platform"), you agree to comply with this Agreement.

This Agreement outlines the terms, responsibilities, and obligations of contractors using the Karipe Platform. If you do not agree, you may not use the Platform.

2. CONTRACTOR ELIGIBILITY

• Be at least 18 years old and legally authorized to work in your jurisdiction.
• Hold all necessary licenses, certifications, and permits required for your services.
• Carry active liability insurance (where applicable).
• Accurately represent your business, qualifications, and experience.

Karipe does not verify contractor credentials and is not responsible for the accuracy of contractor representations.

3. RELATIONSHIP OF PARTIES

• You are an independent contractor, not an employee, agent, or representative of Karipe.
• Karipe does not control how you perform your services.
• You are solely responsible for your taxes, licenses, and business expenses.
• Karipe is not responsible for employment-related benefits or obligations.

4. USE OF THE PLATFORM

• ✅ Provide accurate service descriptions and update your availability.
• ✅ Deliver services professionally and on time.
• ✅ Not engage in fraudulent, misleading, or deceptive practices.
• ✅ Abide by all local, state, and federal regulations.

Karipe reserves the right to suspend or terminate your account if you violate this Agreement.

5. ESCROW PAYMENTS & FEES

• Payments for completed services are held in escrow until approved by the homeowner.
• Contractors only pay a fee (5-9.99%) when they get paid—no upfront fees or lead costs.
• Karipe’s escrow system ensures both contractor and homeowner financial protection.
• Payments are securely processed through Stripe.
• Funds are released based on the agreed project schedule or completion approval.

Disputes

• If a dispute arises, funds remain in escrow until resolution per the Dispute Resolution Policy.
• Karipe is not liable for non-payment if a dispute is unresolved.

6. PROHIBITED OFF-PLATFORM TRANSACTIONS

All communications and financial transactions must occur on the Karipe platform. Off-platform payments or contracts are prohibited.

7. CONTRACTOR OBLIGATIONS & LIABILITY

• ✔ Perform services in a professional, legal, and ethical manner.
• ✔ Use high-quality materials and ensure customer satisfaction.
• ✔ Assume full responsibility for injuries, damages, or disputes related to their work.
• ✔ Indemnify Karipe against any claims, liabilities, or damages arising from contractor actions.
• ✔ Promptly engage with Karipe to assist in resolving homeowner complaints, claims, or disputes.

• Karipe may recover financial losses before disbursing remaining contractor payments.
• Karipe reserves the right to sue contractors if financial losses are not recovered.

8. WARRANTIES & DISCLAIMERS

• Karipe does not guarantee job opportunities or earnings for contractors.
• The Platform is provided "AS IS" and "AS AVAILABLE" without warranties.
• Karipe is not liable for lost revenue, delays, or indirect damages.

9. TERMINATION

Karipe may suspend or terminate a contractor’s account for:

• ❌ Fraudulent or misleading business practices.
• ❌ Multiple customer complaints.
• ❌ Failure to meet contractual obligations.
• ❌ Violations of this Agreement or applicable laws.

10. DISPUTE RESOLUTION & ARBITRATION

• All disputes must first follow the Dispute Resolution Policy.
• If unresolved, disputes shall be settled via binding arbitration in Wyoming under AAA rules.
• Contractors waive the right to sue Karipe, join class-action lawsuits, or demand jury trials.

11. MODIFICATIONS TO THIS AGREEMENT

Karipe may modify this Agreement at any time. Continued use of the Platform means acceptance of new terms.

12. GOVERNING LAW

This Agreement is governed by Wyoming state laws, regardless of conflict of law principles.
